Terms of Service

1. Acceptance of Terms

By creating an account or using Mentiv ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We reserve the right to update these Terms at any time; continued use after changes constitutes acceptance.

2. Description of Service

Mentiv is a software tool that helps students identify academic researchers whose published work aligns with their stated interests, and generates draft cold-outreach emails. The Service uses third-party APIs including Semantic Scholar, Anthropic Claude, and Google Gmail. We are a tool to assist you — we do not guarantee any outcome, response, or relationship with any professor or institution.

3. Eligibility

You must be at least 13 years old to use the Service. By using Mentiv, you represent that you meet this requirement. If you are under 18, you represent that your parent or guardian has reviewed and consented to these Terms on your behalf.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access.

You may not create accounts for others without their consent, share accounts, or use the Service on behalf of any other person without their explicit authorization.

5. Acceptable Use

You agree not to use the Service to:

• –Send spam, unsolicited bulk messages, or harass any individual.
• –Misrepresent your identity, credentials, or affiliation in outreach emails.
• –Scrape, crawl, or systematically extract data from the Service beyond normal use.
• –Attempt to circumvent credit limits, billing systems, or access controls.
• –Use the Service for any purpose that violates applicable law or the policies of academic institutions.
• –Reverse-engineer, decompile, or copy any part of the Service.

We reserve the right to suspend or terminate accounts that violate these terms at our sole discretion, with or without notice.

6. AI-Generated Content

Email drafts generated by Mentiv are produced by a large language model and may contain inaccuracies, awkward phrasing, or information that does not perfectly reflect your background or the professor's work. You are solely responsible for reviewing every email before sending it.

By sending an email through or composed with the Service, you represent that you have read the content and that it accurately represents you. We are not liable for the content of emails you choose to send.

7. Gmail Integration

If you connect your Gmail account, you authorize Mentiv to send emails on your behalf only when you explicitly initiate a send action. We do not read, store, or analyze your inbox or any received messages. You may disconnect Gmail at any time from your account settings, which will delete your stored OAuth tokens.

8. Credits and Billing

Certain features consume credits. Credits are deducted at the time of use and are non-refundable unless required by law or at our discretion. Subscriptions renew automatically unless cancelled before the renewal date.

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period — you retain access and credits through that date.

We reserve the right to change pricing with 30 days' notice to active subscribers. Continued use after a price change takes effect constitutes acceptance.

9. Intellectual Property

The Service, including its code, design, and branding, is owned by Mentiv and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of it without our written permission.

You retain ownership of the content you provide (your profile, research descriptions, etc.). By submitting content to the Service, you grant us a limited, non-exclusive license to use it solely to operate and improve the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR EMAIL WILL RECEIVE A RESPONSE. RESULTS VARY AND ARE NOT GUARANTEED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTOR AI AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST OPPORTUNITIES, FAILED APPLICATIONS, OR REPUTATIONAL HARM RESULTING FROM EMAILS SENT USING THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Mentiv and its operators from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or any emails you send using the Service.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

14. Termination

We may suspend or terminate your access at any time for violation of these Terms. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Sections 9–13 survive termination.
